In order to submit Content for posting to the MobileNOBO service you must agree to the following terms and conditions which apply in addition to the Terms and Conditions of Service that you agreed to as part of your registration with the Service. These additional terms and conditions, which apply to users of the Service that upload Content for publication (this .Agreement.), is a legal and binding document by and between you (.You.) and MobileNOBO. The term .Content. means any content provided by You, including without limitation audio content (e.g., music), images and videos for inclusion on the Service. The term .Mobile Content. means mobile versions of Content submitted by you, including for example, .true-tone. ringtones, wallpapers or mobile video, automatically created by MobileNOBO from Content, and modifications to other Content submitted by You for posting or inclusion on the Service. 2. MOBILE CONTENT. 2.1 Selection and Delivery of Mobile Content. You have the discretion to select the Mobile Content to be offered through the Service. You will post Your Content at the MobileNOBO web site in accordance with then-current specifications and requirements. Each posting of Content must include the then-current information required by MobileNOBO, including without limitation (i) information about the artist, (ii) the title for each piece of Content, (iii) graphical elements for the Mobile Content listing on the Service (e.g. logos, album covers, images, etc) and (iv) any other information requested by MobileNOBO about the Content. 2.2 Rights. As to any Content provided by You to MobileNOBO to create Mobile Content, You will, at Your expense, obtain, procure and pay for the Rights to modify the Content to create Mobile Content and to reproduce, offer, sell, distribute, transmit and deliver such Mobile Content to users via the Mobile Content Stores, including the right to allow MobileNOBO to do each of the foregoing. .Rights. means and is intended to be construed broadly to include any and all rights, permissions, clearances, licenses, releases, consents and approvals that are necessary for You and for MobileNOBO(i) to modify any Content (including without limitation sound recordings and musical works) to create Mobile Content, (ii) to reproduce, distribute and transmit Mobile Content to users, (iii) to allow users to listen to Mobile Content during visits to the Service and (iv) to allow users to play the Mobile Content on the user's wireless devices as a ringtone, including without limitation all master use rights, rights, permissions, licenses, releases, consents, approvals and master and publishing rights from artists, labels, publishers, permission rights organizations (PROs) and licensing societies (e.g., ASCAP and BMI), as applicable. 2.3 Performing Rights Organizations (PROs). If You are a member of a performing rights organization (PRO), then you agree that you shall be solely responsible for any fees due to the PRO in connection with the distribution of Content under this Agreement and agree that you will (i) pay any such fees due to the PRO in connection with your distribution of your Content, and (ii) defend and hold harmless MobileNOBO from and against any liability for such amounts. 2.4 Restricted Mobile Content. You will not post any Content for purposes of MobileNOBO creating Mobile Content if such Content or the modification, reproduction, hosting, distribution, performance and transmission of the Mobile Content will violate any law or any Rights of any third party, including, without limitation, contractual rights, copyrights, trademark rights and/or other intellectual property, personal, publicity or privacy rights. MobileNOBO shall have the right, in its discretion, to reject any Content or Mobile Content that is objectionable to MobileNOBO (including without limitation any Content or Mobile Content that violates any law or any rights of any third party, is provided in breach of this Agreement or that is unlawful, harassing, vulgar, harmful, abusive, threatening, libelous, slanderous, hateful, discriminatory, defamatory, false, misleading or otherwise objectionable). You shall not post any Content which is objectionable as described above unless been authorize by MobileNOBO. MobileNOBO shall have the right to review, play, listen or perform all Content and Mobile Content to determine if it is otherwise objectionable, but is under no obligation to do so. MobileNOBO shall have the right to cease displaying and offering any such Mobile Content on the Service. 2.5 Your Removal of Mobile Content. You may request removal of Mobile Content from the Service using MobileNOBO automated online systems. In addition, it is Your responsibility to remove Mobile Content from the Service if that Mobile Content is objectionable or has a status change such that it is no longer legal to offer such Mobile Content or You lose such rights. You must remove any such of Your Mobile Content on Your own and cannot rely on notifications to MobileNOBO(other than through the automated online systems) to remove such Mobile Content. In addition, You shall send written notice to MobileNOBO of such fact. MobileNOBO will, within a commercially reasonable period of time, remove such Mobile Content from being available on the Service. 3. PROPRIETARY RIGHTS AND LICENSES. 3.1 License to Mobile Content. You hereby grant to MobileNOBO a non-exclusive, worldwide license (i) to modify the Content provided by You to create Mobile Content, (ii) to reproduce and store the Mobile Content and play, perform and display the Mobile Content when a user visits the Service, (iii) transmit and distribute the Mobile Content to users via Service, (iv) sublicense (including, without limitation, through multiple tiers of sublicensees) to users the right to install a copy of the Mobile Content on the user's wireless device and to play, display and perform such Mobile Content on such device, and (v) distribute Your Mobile Content for third parties to download, reproduce, display, distribute, perform and/or display. Other than as technically required in connection with (a) encoding and creating Mobile Content from Content provided by You and (b) to enable the Mobile Content to be deliverable from the Service, MobileNOBO shall not edit or alter the master recordings or artwork of any Content provided by You. MobileNOBO may have to shorten Content clips that You provide to fit on users. cell phones. 3.2 License to Promote Mobile Content. To enable MobileNOBO to host and distribute your Mobile Content, You hereby grant MobileNOBO a nonexclusive, worldwide license to reproduce, use and display Your name, likeness, logos, graphics, branding, trademarks and other marks used by You in connection with the promotion and marketing of Your Content (collectively, .Your Brands.) solely in connection with MobileNOBO hosting and distribution of Your Mobile Content, including without limitation use and display on the Service and MobileNOBO standard web-based marketing for mobile content generally. If You authorize MobileNOBO to display Your Mobile Content on other websites or services, then the foregoing license includes the right to promote such other websites or services. 4. INDEMNIFICATION. You hereby agree to indemnify and hold harmless MobileNOBO, its successors and assigns and each of their customers, officers, employees directors and partners (each, an .Indemnified Party.) from and against any and all claims, suits, demands, causes of action, damages, settlement amounts, costs, expenses, penalties, losses and liabilities (whether under a theory of negligence, strict liability, contract or otherwise) incurred or to be incurred by an Indemnified Party (including but not limited to costs of investigation and reasonable attorneys. and other third party fees and, to the extent permitted by law, fines, penalties and forfeitures in connection with any proceedings against the indemnified party) arising out of or resulting from (i) a breach of a representation or warranty by You or (ii) the modification or reproduction of any Content or Brands supplied by You or the reproduction, distribution, display, performance or transmission of any Mobile Content or the Brands causes a misappropriation of any trade secret or infringement of any patent, copyright, trademark or other property, privacy, or publicity rights of any third parties arising in any jurisdiction throughout the world. Each Indemnified Party will give notice to the You after such Indemnified Party has actual knowledge of any claim as to which indemnity may be sought. The failure of any Indemnified Party to give such notice shall not relieve You of Your obligations under this Section. This Section shall survive the termination of this Agreement. 5. NOTICES OF COPYRIGHT INFRINGEMENT. MobileNOBO respects the intellectual property rights of others, and asks you to do the same. It is the policy of MobileNOBO to terminate the access and posting privileges of those who repeatedly infringe the copyright rights of others. If you believe that your work has been posted on the Service in a way that constitutes copyright infringement, please contact MobileNOBO at the address below and provide the following information: (1) an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest; (2) a description of the copyrighted work that you claim has been infringed, and identification of the URL or other specific location on the Service where the material that you claim is infringing is located; (3) your address, telephone number, and email address; (4) a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and (5) a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf. You acknowledge that you are responsible for the Content and other information and material that you (or your representatives) submit to the Service or transmit though the Service (your .Submissions.), and that you, and not MobileNOBO, will have full responsibility for each of your Submissions, including its legality, reliability, appropriateness, originality and copyright. Unless otherwise expressly stated herein or in the MobileNOBO Privacy Policy, you agree that any Submission provided by you in connection with your use of the Service is provided on a non-confidential basis. You further represent and warrant that: (i) you own all right title and interest in your Submissions or otherwise have the right to grant the license set forth herein, and (ii) the posting of your Submissions on or through the Service does not (and will not) violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person. You agree to pay all royalties, license fees and any other monies owing any person by reason of any Submission posted by you on or through the Service. You shall be solely liable for any damage resulting from any infringement of copyrights, trademarks, proprietary rights, or any other harm resulting from any Submissions. MobileNOBO does not actively monitor your Submissions to the Service. However, in our efforts to promote good citizenship within the Service, if MobileNOBO becomes aware of inappropriate use of the Service, MobileNOBO may respond in any way that MobileNOBO deems appropriate in its sole discretion. You acknowledge that MobileNOBO may report to law enforcement authorities any actions that may be considered illegal, as well as any reports it receives of such conduct. When requested, MobileNOBO may cooperate with law enforcement agencies in any investigation of alleged illegal activity. MobileNOBO may remove any Submission that MobileNOBO determines, in its sole discretion, violate the terms of this Agreement or are otherwise deemed by MobileNOBO to be inappropriate for distribution through the Service.
